Xendly Biz Terms of Use

These Terms of Use (“Terms”) govern your use of Xendly Biz, a storefront and commerce platform operated by Xendly Corp Ltd(trading as “Xendly Labs”), a company registered in Rwanda (“Xendly Biz”, “we”, “us”). By creating an account or using Xendly Biz, you agree to these Terms.

The service

Xendly Biz lets merchants create an online store — a business with products, a storefront and an optional custom domain — and lets customers browse those stores, place online orders, pay, and receive delivery. Xendly Biz is a platform that connects merchants and customers and facilitates payments and delivery; the underlying sale of goods is a contract between the merchant and the customer.

Your account

  • You must provide accurate information and keep your account secure.
  • You are responsible for activity under your account.
  • Merchant accounts are for businesses selling through Xendly Biz; customer accounts are for shoppers who browse and order. Each is responsible for its own use.
  • You must be old enough to form a binding contract (and at least 13) to use Xendly Biz.

Acceptable use

You agree not to:

  • Use Xendly Biz for any unlawful, harmful, or abusive purpose.
  • Sell prohibited, counterfeit, or illegal goods, or list inaccurate or misleading product information.
  • Attempt to disrupt, reverse-engineer, or gain unauthorized access to the service or its infrastructure.
  • Resell, scrape, or build a competing service from the platform without our written permission.
  • Infringe the rights of others or submit unlawful content.

Orders, payments & delivery

Customers place orders through a merchant’s storefront. Payments are processed by our payment provider (Paypack), including mobile money (MoMo). Where delivery is selected, orders are dispatched through our delivery partner (Kapiteni) to the address you provide. Prices, availability, delivery fees and timelines are set by the merchant and shown at checkout. Refunds, returns and the condition of goods are primarily a matter between the customer and the merchant; we will help facilitate resolution and may act against merchants who do not deliver paid orders.

Merchant responsibilities

  • Merchants are responsible for the accuracy of their product listings, pricing, stock levels, and business information.
  • Merchants must fulfil orders they accept, deliver goods as described, and handle customer enquiries, refunds and returns fairly.
  • Merchants are responsible for their own tax and legal obligations. Xendly Biz is a record-keeping and sales tool, not a substitute for tax or legal advice.

Subscriptions & payments

Some merchant features use a subscription and/or a credit balance. Prices, plans, and credit costs are shown in the app and may change. Subscription and credit payments are processed by our payment provider. Except where required by law, subscription and credit payments are non-refundable. You can manage or cancel a subscription in the app; cancellation stops future renewals.

Intellectual property

Xendly Biz, its software, branding, and content are owned by Xendly Corp Ltd and its licensors and are protected by law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app for its intended purpose. You retain rights to the content you submit (such as product images and business information) and grant us the rights needed to host and display it.

Privacy

Your use of Xendly Biz is also governed by our Privacy Policy, which explains what data we collect and how we use it.

Disclaimers

Xendly Biz is provided “as is” and “as available,” without warranties of any kind to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted or error-free, and we are not the seller of goods offered by merchants on the platform.

Limitation of liability

To the maximum extent permitted by law, Xendly Corp Ltd is not liable for indirect, incidental, special, or consequential damages, or for losses arising from a transaction between a merchant and a customer. Our total liability for any claim is limited to the amount you paid us for the service in the 12 months before the claim.

Termination

You may stop using Xendly Biz and delete your account at any time (see account deletion). We may suspend or terminate access if you breach these Terms or to protect the service and its users.

Governing law

These Terms are governed by the laws of the Republic of Rwanda, and disputes are subject to the courts of Rwanda, without prejudice to any mandatory consumer rights you have where you live.

Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date. Continued use after a change means you accept the updated Terms.
